1. Acceptance of Terms

Welcome to our Platform ("the App," "the Platform," "we," "our," or "us").

These Gym Terms & Conditions govern your access to and use of the Gym Account and all related Services provided through the Platform.

By creating, accessing, or using a Gym Account, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions, together with our Privacy Policy, Health Disclaimer, Community Guidelines, and any additional policies that may apply.

If you do not agree with these Terms, you must not create or use a Gym Account.

We reserve the right to update or modify these Terms at any time. Continued use of the Platform after any changes become effective constitutes acceptance of the updated Terms.

2. Eligibility

To register and operate a Gym Account, you represent and warrant that:

You have the legal authority to act on behalf of the gym, fitness center, sports club, or fitness business.
All registration information you provide is accurate, complete, and current.
Your business complies with all applicable laws and regulations in the jurisdictions where it operates.
You have the legal capacity to enter into a binding agreement.
You will promptly update any information that becomes inaccurate or outdated.

We reserve the right to verify your eligibility and refuse, suspend, or terminate registration if these requirements are not satisfied.

3. Gym Account Registration

To access Gym Services, you must create and maintain a Gym Account.

When registering, you agree to:

Provide complete and accurate business information.
Register only one Gym Account for each gym unless otherwise authorized.
Keep your business information current.
Ensure that all contact information remains valid.
Register only businesses that you are legally authorized to represent.

You may not:

Register a gym using false or misleading information.
Impersonate another gym or organization.
Misrepresent ownership or affiliation.
Register businesses that you are not authorized to manage.

We reserve the right to reject or remove registrations that violate these Terms.

4. Account Security

You are solely responsible for maintaining the security of your Gym Account.

You agree to:

Protect your login credentials.
Restrict account access to authorized personnel only.
Maintain appropriate internal security practices.
Notify us immediately if you suspect unauthorized access or a security incident.
Log out of shared devices after use.

You remain responsible for all activities performed through your Gym Account, including actions performed by authorized staff members using your credentials.

5. Business Verification

To protect the integrity of the Platform, we may request verification of your business at any time.

Verification may include, but is not limited to:

Business registration information.
Ownership verification.
Identity verification.
Contact verification.
Professional licenses or permits where applicable.
Additional documentation reasonably required to verify your business.

Verification does not constitute endorsement, accreditation, certification, or approval of your business by the Platform.

We reserve the right to approve, reject, suspend, revoke, or repeat verification at our sole discretion where permitted by law.

6. Subscription Plans

Certain Gym features may require an active paid subscription.

Subscription plans may determine access to features including, but not limited to:

Membership management.
Coach management.
Workout plans.
Offers.
Announcements.
Classes.
Statistics.
Branch management.
Other premium functionality.

Subscription features, pricing, usage limits, and availability may change over time.

You are responsible for selecting the subscription plan that best meets your business needs.

7. Payments

If your Gym Account requires payment for subscription services, you agree that:

All payment information provided is accurate.
You are authorized to use the selected payment method.
Subscription fees must be paid when due.
Taxes, governmental charges, and applicable processing fees remain your responsibility unless otherwise stated.
Failure to complete required payments may result in restricted access, suspension, or termination of premium Services.

Unless otherwise specified, subscription fees are non-refundable.

8. Gym Profile

Your Gym Profile represents your business within the Platform.

You are responsible for ensuring that all published information is accurate and kept up to date.

Your Gym Profile may include:

Gym name.
Logo.
Cover image.
Description.
Contact information.
Business hours.
Facilities.
Services.
Branch information.
Coaches.
Gallery images.
Membership plans.
Offers.
Announcements.
Classes.
Other information supported by the Platform.

You agree not to publish false, misleading, deceptive, unlawful, or infringing information.

We reserve the right to remove or modify content that violates these Terms or applicable law.

9. Branch Management

Where supported by your subscription plan, you may create and manage multiple gym branches.

You acknowledge that:

Each branch must accurately represent a legitimate business location.
Branch information must remain accurate.
You are responsible for all activities conducted through every branch associated with your Gym Account.
You may not create fictitious or misleading branches.
Branch limits are determined by your subscription plan.

Attempting to bypass subscription limits or create unauthorized branches is prohibited.

10. Staff and Coach Management

The Platform may allow you to assign staff members, coaches, managers, or other authorized personnel to your Gym Account.

You are solely responsible for:

Selecting authorized personnel.
Assigning appropriate permissions.
Monitoring staff activity.
Removing access when necessary.
Maintaining internal account security.

Actions performed by your authorized staff are considered actions performed by your Gym Account.

11. Gym Responsibilities

As a Gym Account, you agree to operate responsibly, professionally, and in compliance with all applicable laws.

You agree that you will:

Provide accurate business information.
Maintain accurate membership records.
Manage staff responsibly.
Respect the rights and privacy of members.
Provide truthful descriptions of services and facilities.
Honor published membership terms and promotional offers.
Maintain appropriate business practices.
Use the Platform only for legitimate business purposes.
Comply with these Terms, the Privacy Policy, the Health Disclaimer, and the Community Guidelines.
Cooperate with reasonable verification, compliance, or security requests when necessary.

You further agree that you will not:

Misrepresent your business or services.
Create fraudulent memberships.
Misuse Member IDs or QR Check-In functionality.
Abuse administrative privileges.
Attempt to bypass subscription limits or Platform restrictions.
Manipulate reviews, ratings, or statistics.
Use the Platform for unlawful, deceptive, or fraudulent purposes.
Interfere with the operation, security, or integrity of the Platform.
Encourage or assist others in violating these Terms.

Failure to comply with these responsibilities may result in warnings, feature restrictions, suspension, permanent account termination, or any other enforcement action permitted under these Terms.

12. Membership Management

The Platform enables Gym Accounts to create, manage, modify, suspend, freeze, renew, and terminate memberships for their members.

As a Gym Account, you acknowledge and agree that you are solely responsible for:

Creating accurate membership records.
Maintaining up-to-date member information.
Selecting appropriate membership plans.
Defining membership duration.
Managing renewals and expirations.
Suspending or terminating memberships where appropriate.
Complying with all applicable consumer protection laws.

You agree not to create false, duplicate, or fraudulent memberships.

13. Member Information

You are responsible for ensuring that all member information entered into the Platform is collected and processed lawfully.

You agree that:

Information provided is accurate to the best of your knowledge.
You have an appropriate legal basis to process member information.
You will use member information solely for legitimate business purposes related to the Services.
You will not misuse, disclose, sell, or distribute member information without proper authorization or legal justification.

The Platform may restrict access to certain member information where necessary to protect user privacy or comply with applicable law.

14. Membership Freeze

Where supported by the Platform, Gym Accounts may temporarily freeze eligible memberships.

You acknowledge that:

Freeze periods are managed by the Gym.
You are responsible for ensuring that freeze periods are applied correctly.
Freeze limits may be determined by your subscription plan or internal business policies.
The Platform is not responsible for disputes arising from membership freeze decisions.

15. QR Check-In Services

The Platform provides QR Check-In functionality to assist with attendance management.

You agree that you will:

Use the system only for legitimate attendance purposes.
Verify member eligibility before granting access.
Prevent unauthorized access whenever reasonably possible.
Maintain the integrity of attendance records.

You may not:

Register attendance for non-members.
Manipulate attendance records.
Generate fraudulent check-ins.
Circumvent Platform security controls.
Permit unauthorized individuals to use another member's QR code.

Improper use of QR functionality may result in suspension of related Services.

16. Coaches and Staff

You are solely responsible for all personnel associated with your Gym Account.

This includes responsibility for:

Coaches.
Trainers.
Reception staff.
Managers.
Administrative personnel.
Any other authorized users.

You agree that:

Staff permissions will be assigned responsibly.
Staff members will receive only the access necessary to perform their duties.
Unauthorized individuals will not be granted account access.
Access will be revoked promptly when no longer required.

All actions performed by authorized staff are deemed actions performed by the Gym Account.

17. Classes

The Platform may allow Gym Accounts to create and manage classes.

You are responsible for:

Class schedules.
Capacity limits.
Instructor assignments.
Class descriptions.
Cancellations.
Rescheduling.
Participant communication.

The Platform does not guarantee attendance levels or participant availability.

18. Workout Plans and Training Programs

Gym Accounts may create, organize, and distribute workout plans and training programs through the Platform.

You acknowledge that:

You are solely responsible for all workout content you create or publish.
Workout plans should accurately represent the intended exercises and schedules.
You are responsible for reviewing and maintaining the accuracy of your content.
Members remain responsible for deciding whether to participate in any workout program.

The Platform does not verify or approve workout plans before publication.

19. Announcements

Gym Accounts may publish announcements to members through the Platform.

You agree that announcements must:

Be accurate.
Be lawful.
Be relevant to your business.
Not contain misleading information.
Not contain prohibited content.

We reserve the right to remove announcements that violate these Terms or applicable law.

20. Offers and Promotions

Gym Accounts may publish promotional offers through the Platform.

You are solely responsible for:

Offer accuracy.
Pricing.
Availability.
Eligibility requirements.
Redemption conditions.
Expiration dates.
Compliance with applicable advertising and consumer protection laws.

You agree not to publish deceptive, misleading, or fraudulent promotions.

21. Events

The Platform may allow Gym Accounts to organize or promote events.

You acknowledge that you are responsible for:

Event organization.
Scheduling.
Venue information.
Participant communication.
Event modifications.
Event cancellations.
Compliance with applicable laws.

The Platform is not responsible for managing event operations on behalf of Gym Accounts.

22. Reviews and Ratings

Members may submit reviews and ratings regarding your Gym.

You agree that you will not:

Manipulate ratings.
Purchase reviews.
Publish fake reviews.
Pressure members to leave positive reviews.
Retaliate against users for submitting honest feedback.

We reserve the right to investigate suspicious review activity and take appropriate action where necessary.

23. Communications

The Platform provides communication tools that may include:

Member notifications.
Direct messaging.
Announcements.
Service updates.
Promotional communications.
Class notifications.
Membership notifications.

You agree that communications sent through the Platform will:

Comply with applicable laws.
Respect member privacy.
Not contain spam.
Not contain deceptive or fraudulent information.
Not include malicious software or harmful links.
Be relevant to the services you provide.

You are solely responsible for communications distributed through your Gym Account.

24. Intellectual Property

The Platform, including but not limited to its software, design, layout, graphics, logos, trademarks, service marks, icons, databases, source code, features, functionality, text, audiovisual content, documentation, and all related materials, is owned by or licensed to the Company and is protected under applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not:

Copy or reproduce any part of the Platform.
Modify or create derivative works.
Redistribute or republish Platform content.
Sell, sublicense, lease, or commercially exploit the Platform.
Remove copyright or proprietary notices.
Use the Company's trademarks or branding without prior written authorization.

No ownership rights are transferred to you through your use of the Platform.

25. Gym Content

You retain ownership of the content that you create and upload to your Gym Account, including but not limited to:

Gym profile information.
Logos.
Images.
Videos.
Membership plans.
Workout plans.
Training programs.
Announcements.
Offers.
Events.
Coach profiles.
Class schedules.
Gallery content.
Business descriptions.
Promotional materials.
Other business-related content.

By uploading or publishing such content, you grant the Company a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, process, display, reproduce, distribute, and make the content available solely for the purpose of operating, maintaining, improving, securing, promoting, and providing the Platform.

You represent and warrant that:

You own the content or have all necessary rights to use and publish it.
The content does not infringe the intellectual property or other legal rights of any third party.
The content complies with applicable laws and these Terms.

26. Business Representations

You acknowledge and agree that all information presented on behalf of your Gym is your sole responsibility.

This includes, but is not limited to:

Membership pricing.
Services offered.
Operating hours.
Facilities.
Equipment.
Coaches.
Branch information.
Promotions.
Membership benefits.
Business descriptions.
Images and marketing materials.

You agree not to publish false, deceptive, misleading, or inaccurate business information.

27. Limited License

Subject to your compliance with these Terms, the Company grants your Gym a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for the internal operation and management of your business.

This license does not permit you to:

Copy the Platform.
Resell access to the Platform.
License the Platform to third parties.
Reverse engineer or decompile the Platform except where permitted by law.
Develop competing services using the Platform.
Access restricted systems.
Circumvent subscription restrictions.

Violation of these Terms may result in immediate revocation of this license.

28. Prohibited Activities

As a Gym Account, you agree not to:

Violate any applicable law or regulation.
Create fraudulent memberships.
Register fictitious members.
Create fake branches.
Manipulate attendance records.
Abuse QR Check-In functionality.
Share Member IDs improperly.
Circumvent subscription limits.
Share premium features with unauthorized users.
Misrepresent your business.
Publish misleading offers.
Publish fraudulent promotions.
Manipulate reviews or ratings.
Create fake customer accounts.
Use bots, scripts, crawlers, or automated systems without authorization.
Reverse engineer the Platform except where legally permitted.
Attempt unauthorized access to Company systems.
Upload malware, ransomware, spyware, viruses, or other malicious software.
Conduct phishing or fraudulent activities.
Interfere with Platform operations.
Overload Company infrastructure.
Distribute spam.
Collect user information without authorization.
Sell or transfer your Gym Account without written approval.
Encourage or assist others in violating these Terms.

Violations may result in immediate enforcement action, including suspension or permanent termination.

29. Third-Party Services

The Platform may integrate with third-party services including, but not limited to:

Payment providers.
Authentication providers.
Cloud infrastructure.
Analytics providers.
Mapping services.
Push notification services.
Customer support systems.
Storage providers.

Your use of these services may also be governed by the terms and privacy policies of their respective providers.

The Company is not responsible for third-party systems, services, availability, or performance.

30. Third-Party Links

The Platform may contain links to external websites, applications, or services.

Such links are provided solely for convenience.

The Company does not endorse or assume responsibility for third-party content, products, services, security, or privacy practices.

Accessing third-party resources is entirely at your own risk.

31. Availability of Services

The Company strives to maintain reliable Platform availability but does not guarantee uninterrupted access.

Services may become unavailable due to:

Scheduled maintenance.
Emergency maintenance.
Software updates.
Security incidents.
Infrastructure failures.
Internet outages.
Third-party provider failures.
Events beyond our reasonable control.

The Company is not liable for temporary interruptions or delays in service availability.

32. Platform Modifications

The Company reserves the right to:

Add new features.
Remove existing features.
Modify subscription plans.
Change usage limits.
Improve functionality.
Replace technologies.
Introduce new business tools.
Retire obsolete functionality.

These modifications may occur with or without prior notice where permitted by applicable law.

33. Updates

Performance improvements.
User interface enhancements.
Feature additions.
Compatibility updates.

You acknowledge that:

Certain updates may be mandatory for continued access to the Platform.
Older versions may eventually become unsupported.
Continued use of the Platform following updates constitutes acceptance of any applicable changes to the Services and these Terms.

34. Suspension of Services

We reserve the right, at our sole discretion and where permitted by applicable law, to temporarily suspend, restrict, or disable your Gym Account or any portion of the Services if we reasonably determine that:

You have violated these Terms.
You have violated applicable laws or regulations.
You have breached the Privacy Policy, Community Guidelines, or other applicable Platform policies.
Your activities pose a security risk to the Platform or its users.
Fraudulent, deceptive, or unauthorized activities are detected.
Required subscription payments remain unpaid.
Verification requirements are not satisfied or maintained.
Your account is being used in a manner that could damage the integrity, stability, or reputation of the Platform.

Depending on the nature of the violation, suspension may occur with or without prior notice.

35. Account Termination

We may permanently terminate your Gym Account if:

You repeatedly violate these Terms.
You engage in fraudulent or illegal activities.
You intentionally misuse the Platform.
You submit false business or verification information.
You abuse members or other Platform users.
You repeatedly violate subscription limitations.
We are legally required to terminate your account.
You request permanent account deletion.

Upon termination:

Access to your Gym Account and related Services may immediately end.
Active subscriptions may be cancelled.
Published content may be removed from public visibility.
Certain information may be retained where required by law, for fraud prevention, security investigations, dispute resolution, auditing, or enforcement of our legal rights.

Termination does not relieve you of any obligations incurred prior to termination.

36. Limitation of Liability

To the fullest extent permitted by applicable law, the Company, its owners, affiliates, directors, officers, employees, licensors, contractors, partners, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to:

Your use of the Platform.
Your inability to access or use the Platform.
Business interruptions.
Loss of revenue, profits, customers, or business opportunities.
Membership disputes.
Customer complaints.
Coach or staff actions.
Errors in Gym-generated content.
Service interruptions.
Third-party service failures.
Unauthorized access to your account.
Data loss.
Cybersecurity incidents beyond our reasonable control.
Platform downtime.
Events organized by your Gym.
Membership management decisions.
Promotional campaigns or offers published by your Gym.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

37. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, directors, officers, employees, licensors, contractors, partners, and service providers from and against any claims, liabilities, damages, judgments, penalties, losses, costs, or expenses (including reasonable legal fees) arising from or relating to:

Your Gym Account.
Your employees, coaches, managers, or authorized staff.
Your business operations conducted through the Platform.
Your violation of these Terms.
Your violation of applicable laws.
Your infringement of third-party rights.
Membership disputes.
Customer claims.
Content published by your Gym.
Services provided by your Gym.

38. Force Majeure

The Company shall not be liable for any delay, interruption, or failure to perform its obligations where such failure results from events beyond its reasonable control, including but not limited to:

Natural disasters.
Floods.
Earthquakes.
Fires.
Epidemics or pandemics.
War.
Terrorist acts.
Civil unrest.
Government actions.
Labor disputes.
Internet outages.
Power failures.
Cloud infrastructure failures.
Cyberattacks.
Third-party service interruptions.
Any other event beyond the reasonable control of the Company.

During such events, our obligations may be suspended for the duration of the event.

39. Governing Law

These Terms shall be governed by and interpreted in accordance with the applicable laws of the jurisdiction in which the Company operates, without regard to conflict of law principles.

40. Dispute Resolution

If any dispute arises concerning these Terms or the use of the Platform, the parties agree to first attempt to resolve the matter through good-faith negotiations.

If an amicable resolution cannot be reached, the dispute shall be submitted to the courts having competent jurisdiction under the applicable laws governing these Terms, unless mandatory law provides otherwise.

41. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, the remaining provisions shall remain valid, enforceable, and in full force and effect.

42. No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights available to the Company.

Any waiver shall be effective only if made expressly in writing by an authorized representative of the Company.

43. Entire Agreement

These Gym Terms & Conditions, together with the Privacy Policy, Health Disclaimer, Community Guidelines, subscription terms, and any additional policies expressly incorporated by reference, constitute the entire agreement between the Company and the Gym regarding the use of the Platform and supersede all prior agreements, communications, negotiations, and understandings relating to the Services.
